Terms of Service

Please read these Terms carefully before using Earncial. By creating an account, accessing, or using any part of the Earncial platform, you confirm that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Earncial Global (CAC RC No. 9374009), the operator of the Earncial platform ("Earncial", "we", "us").

These Terms govern your access to and use of the Earncial website, platform, services, and any future features including the Task Marketplace and Product Marketplace (collectively, the "Service").

By doing any of the following, you agree to these Terms:

  • Creating an Earncial account
  • Clicking "I agree" or similar during registration
  • Accessing or using any part of the Earncial platform
  • Completing or posting a task
  • Making or receiving a payment through Earncial
⚠️ If you do not agree to these Terms, you must not create an account or use the Earncial platform in any way.

We reserve the right to update these Terms at any time. Continued use of the platform after changes are published constitutes your acceptance of the revised Terms. We will notify you of material changes via email or a prominent notice on the platform.

2. About Our Platform

Earncial operates as a multi-service digital platform comprising the following services:

2.1 — Task Marketplace (Live)

A marketplace that connects Earners and Advertisers for the completion of social media engagement tasks. Earncial acts as an intermediary — facilitating connections, verifying task completions, and processing payments — but is not a party to the agreement between individual earners and advertisers.

  • Earners complete social media tasks (follow, like, subscribe, comment, join, watch, share, etc.) in exchange for monetary compensation
  • Advertisers post tasks and pay for genuine social media engagement to grow their online presence
  • Earncial verifies task completion through screenshot review before releasing payment

2.2 — Product Marketplace Coming Soon

A marketplace for buying and selling physical products, digital products, and services. This feature is currently in development and not yet live. Additional specific terms will apply to the Product Marketplace upon launch and will be incorporated into these Terms.

The Product Marketplace will support:

  • Physical products — clothing, gadgets, accessories, and other tangible goods
  • Digital products — eBooks, templates, courses, software, and other downloadable content
  • Services — freelance and professional services offered by users
💡 Earncial is a marketplace intermediary. We connect buyers and sellers and earners and advertisers, but we are not the seller of goods nor the employer of earners. All transactions are between independent users of the platform.

3. Accounts & Registration

3.1 — Eligibility

To create an Earncial account you must:

  • Be at least 18 years of age
  • Provide accurate, complete, and truthful information during registration
  • Have the legal capacity to enter into a binding contract in your jurisdiction
  • Not have been previously banned or suspended from Earncial

3.2 — Account Types

⚠️ Account type is permanent. You cannot switch from Earner to Advertiser or vice versa after registration. Create your account carefully.

3.3 — One Account Per Person

Each user is permitted to hold one account only. Creating multiple accounts — whether as an earner, an advertiser, or across both types — is strictly prohibited and will result in immediate permanent banning of all associated accounts and forfeiture of all balances.

3.4 — Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

  • Use a strong, unique password for your Earncial account
  • Never share your password with anyone — including anyone claiming to be Earncial staff
  • Notify us immediately at support@earncial.com if you suspect unauthorised access

Earncial will never ask for your password under any circumstances.

3.5 — Accurate Information

You must provide truthful and accurate information at registration and keep it updated. Providing false information — including a false name, age, bank account, or social media handles — may result in immediate account termination and forfeiture of earnings.

4. Earner Terms

4.1 — Activation

Before completing any tasks, earners must pay a one-time, non-refundable activation fee of ₦1,000. This fee covers account setup, verification processing, and platform access. It is charged once and never again.

4.2 — Social Media Handle Verification

Earners must link and verify their social media handles before completing tasks on any platform. The verification process requires:

  1. Submitting your username for the target platform
  2. Placing a Earncial-provided verification text in your profile bio
  3. Submitting for admin review and approval

Each platform must be verified separately. Earncial may revoke handle approval at any time if the handle is found to violate these Terms.

4.3 — Completing Tasks

When completing tasks, earners agree to:

  • Read and follow task instructions carefully and exactly
  • Complete the task using only your verified, linked account
  • Submit a clear, unedited screenshot clearly showing your username and the completed action
  • Maintain the completed action — you must not undo it (e.g. unfollow, unlike, leave group) after submission
  • Not submit a task you have previously completed

4.4 — Earnings & Withdrawals

  • Earnings are credited to your Earncial balance only after task approval by Earncial admin
  • Minimum withdrawal amount: ₦1,000
  • A 10% fee is deducted from every withdrawal
  • Withdrawals are processed to your registered bank account only
  • The bank account name must match your registered Earncial name
💡 The withdrawal fee breakdown is shown transparently before you confirm — you always know exactly how much you will receive.

4.5 — Nature of Relationship

Earners on Earncial are independent users, not employees, contractors, or agents of Earncial. Completing tasks does not create an employment relationship between you and Earncial or between you and the advertiser who posted the task.

5. Advertiser Terms

5.1 — Wallet & Deposits

  • Advertisers must fund their Earncial wallet before posting tasks
  • Minimum deposit amount: ₦1,000
  • Deposits are processed via Flutterwave. Flutterwave adds its own processing fee — the amount shown on Flutterwave may be higher than the amount entered on Earncial. You must pay the exact amount shown on Flutterwave
  • Wallet funds do not expire and may be used for any tasks posted on the platform

5.2 — Posting Tasks

By posting a task on Earncial, the advertiser warrants that:

  • They own or have the right to promote the social media account, content, or product in the task
  • The task URL is accurate, complete, and leads directly to the correct destination
  • The task does not violate the terms of any social media platform it targets
  • The task does not promote illegal, harmful, deceptive, or offensive content
  • They have sufficient wallet balance to cover the full task cost before submitting

Tasks are subject to admin review before going live. Earncial reserves the right to reject any task without explanation.

5.3 — Task Management

  • Pause / Resume: Tasks may be paused and resumed at any time at no cost
  • Increase Participants: Additional participants (minimum 10) may be added to a live task at any time — the cost is deducted instantly and no re-approval is required
  • Delete Task: Advertisers may delete a task and receive a 95% refund of the remaining unused budget to their wallet. The 5% is non-refundable and covers platform processing charges

5.4 — Approval & Rejection of Submissions

Earncial's admin team reviews all earner task submissions. Advertisers do not manually approve or reject individual submissions — this is managed by Earncial to ensure fairness and prevent abuse. Advertisers agree to accept Earncial's review decisions on task submissions.

5.5 — Prohibited Tasks

Advertisers may not post tasks that:

  • Promote illegal products, services, or activities
  • Contain sexually explicit, violent, or hateful content
  • Involve phishing, scams, or deceptive schemes
  • Violate the intellectual property rights of third parties
  • Direct earners to download malicious software or visit harmful websites
  • Request earners to share personal financial or sensitive information
🚫 Posting prohibited tasks will result in immediate account suspension, forfeiture of wallet balance, and may be reported to relevant authorities.

6. Product Marketplace Coming Soon

The Earncial Product Marketplace is currently in development and is not yet live. The following terms will apply upon launch.

6.1 — What Can Be Listed

The Product Marketplace will allow users to list and sell:

  • Physical products — clothing, gadgets, accessories, household items, and other tangible goods that can be physically shipped
  • Digital products — eBooks, templates, courses, design files, software, and other downloadable or deliverable digital content
  • Services — freelance and professional services including writing, design, development, consulting, and other skills-based offerings

6.2 — Seller Responsibilities

Sellers on the Product Marketplace will be required to:

  • Pay a listing fee per item listed (amount to be communicated at launch)
  • Provide accurate product descriptions, pricing, and images
  • Fulfill orders promptly and as described
  • Not list counterfeit, stolen, prohibited, or intellectual property-infringing items
  • Handle disputes with buyers in good faith

6.3 — Prohibited Listings

The following may not be listed or sold on the Earncial Marketplace:

  • Illegal goods or controlled substances
  • Counterfeit or replica branded products
  • Weapons, ammunition, or dangerous materials
  • Adult content or sexually explicit material
  • Stolen goods or fraudulently obtained items
  • Products that infringe third-party intellectual property rights
  • Financial instruments, currencies, or investment products
💡 Full Marketplace Terms — including fees, buyer protections, return policy, and dispute resolution — will be published and incorporated into these Terms upon launch. We will notify all users.

7. Fees & Payments

7.1 — Fee Summary

7.2 — Payment Processing

All deposits are processed by Flutterwave, our third-party payment provider. Earncial does not store credit card or bank card details. By making a deposit, you also agree to Flutterwave's Terms of Service.

7.3 — All Fees Are Final

All fees charged by Earncial are final and non-negotiable unless otherwise stated. The activation fee is non-refundable under all circumstances. Withdrawal fees are deducted automatically and shown to you before you confirm.

7.4 — Earncial's Right to Change Fees

Earncial reserves the right to modify its fee structure at any time. We will provide at least 14 days' advance notice of any fee changes via email or a platform-wide announcement.

⚠️ The activation fee (₦1,000) is strictly one-time and non-refundable — even if your account is subsequently banned for a violation.

8. Prohibited Conduct

The following conduct is strictly prohibited on the Earncial platform. Violation of any of these rules will result in immediate permanent account termination and forfeiture of all balances.

Fake Screenshots / Cheating
Submitting edited, fabricated, or false screenshot proof for task completion. Any form of deception to claim earnings you have not genuinely earned.

Multiple Accounts
Creating or operating more than one Earncial account per person, whether as earner, advertiser, or both. All accounts will be permanently banned.

Reversing Completed Actions
Unfollowing, unliking, leaving, or otherwise undoing a task action after submitting the proof. You must maintain all task actions permanently.

Bots & Automation
Using automated tools, scripts, bots, or any software to complete tasks, generate screenshots, or interact with the Earncial platform artificially.

Minors Under 18
Persons under the age of 18 are strictly prohibited from using Earncial. Any account found to belong to a minor will be permanently closed immediately.

General Fraud & Abuse
Any attempt to defraud Earncial, other users, advertisers, or earners — including chargebacks, false disputes, or exploiting platform bugs for financial gain.

Additional Prohibited Activities

  • Hacking, reverse-engineering, or attempting to gain unauthorised access to any part of the platform
  • Scraping, crawling, or data-mining the platform without written permission
  • Harassing, threatening, or abusing other users or Earncial staff
  • Impersonating Earncial, its staff, or other users
  • Using Earncial to launder money or conduct illegal financial activity
  • Circumventing or attempting to bypass any security measure, fee, or restriction on the platform
🚫 Zero tolerance policy. Earncial does not issue warnings for serious violations. Cheating, fake screenshots, bots, or multiple accounts result in immediate permanent ban and permanent forfeiture of all wallet balances — including the activation fee. We actively monitor for fraud.

9. Termination & Account Bans

9.1 — Termination by Earncial

Earncial reserves the right to suspend or permanently terminate any account at any time, with or without prior notice, for:

  • Any violation of these Terms of Service
  • Fraudulent, abusive, or deceptive activity
  • Providing false information during registration or activity
  • Any conduct that Earncial determines, in its sole discretion, to be harmful to the platform, other users, or third parties

9.2 — Consequences of Ban

Upon permanent termination for a Terms violation:

  • All wallet balances (including earnings, unused deposits) are permanently forfeited
  • The activation fee is non-refundable
  • You may not create a new account — doing so will result in the new account being banned as well
  • Any pending task submissions or advertiser task budgets are forfeited

9.3 — Voluntary Account Deletion

You may request deletion of your account at any time by contacting privacy@earncial.com. Upon voluntary deletion:

  • Any remaining earner balance may be withdrawn before deletion (subject to minimum withdrawal and fee)
  • Advertiser wallet balances may be refunded minus any applicable processing charges
  • Transaction records are retained as required by law (see Privacy Policy)

9.4 — Termination by You

You may stop using the platform at any time. Simply ceasing to use the platform does not delete your account or data. You must submit a formal deletion request to remove your account.

⚠️ There is no appeal process for accounts banned for Terms violations. Earncial's decision is final.

10. Dispute Resolution

10.1 — Platform Disputes (Earner vs Advertiser)

Any dispute arising between an earner and an advertiser on the Earncial platform — including disputes about task completion, screenshot validity, or payment — shall be submitted to Earncial's admin team for resolution.

The process is as follows:

  1. The disputing party contacts support@earncial.com with full details and evidence
  2. Earncial's admin team reviews all evidence submitted by both parties
  3. Earncial issues a decision based on the platform's rules and its review of the evidence
  4. Earncial's decision is final and binding. There is no appeal mechanism for platform disputes
💡 By using the Earncial platform, both earners and advertisers agree that Earncial's admin decision on all platform disputes is final and binding.

10.2 — Disputes with Earncial

If you have a dispute directly with Earncial (not between users), you agree to first attempt resolution by contacting us at support@earncial.com. We will make every reasonable effort to resolve your concern within 14 business days.

10.3 — No Class Actions

You agree to resolve any disputes with Earncial on an individual basis only. You waive any right to participate in class action lawsuits or class-wide arbitration proceedings against Earncial.

11. Limitation of Liability

11.1 — No Employment or Agency

Earncial is a marketplace intermediary. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Earncial and any user. Earncial is not responsible for the conduct of earners or advertisers on the platform.

11.2 — Platform Availability

We strive to keep the Earncial platform available 24/7, but we do not guarantee uninterrupted access. We are not liable for losses arising from platform downtime, maintenance, technical errors, or circumstances beyond our control.

11.3 — Third-Party Platforms

Earncial is not affiliated with, endorsed by, or responsible for any third-party social media platform (Instagram, TikTok, YouTube, Facebook, Twitter, Telegram, etc.). Changes to third-party platform policies that affect earners' ability to complete tasks are not Earncial's liability.

11.4 — Limitation of Damages

To the maximum extent permitted by applicable law, Earncial's total liability to any user shall not exceed the amount that user paid to Earncial in the 90 days preceding the event giving rise to the claim. Earncial is not liable for indirect, incidental, special, or consequential damages.

11.5 — User Content

Earncial is not responsible for content posted by users including task descriptions, product listings, or screenshots. Users are solely responsible for the content they submit to the platform.

12. Intellectual Property

12.1 — Earncial's Intellectual Property

All content on the Earncial platform — including the name "Earncial", logo, design, code, text, graphics, and features — is the exclusive intellectual property of Earncial Global and is protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any Earncial content without our prior written permission.

12.2 — User Content Licence

By submitting screenshots, product images, descriptions, or any other content to the Earncial platform, you grant Earncial a non-exclusive, worldwide, royalty-free licence to use, store, display, and process that content solely for the purpose of operating the platform and resolving disputes.

12.3 — Reporting Infringement

If you believe any content on Earncial infringes your intellectual property rights, please notify us at support@earncial.com with the subject line "IP Infringement Notice". We will investigate and take appropriate action promptly.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including but not limited to:

  • The Companies and Allied Matters Act (CAMA)
  • The Nigeria Data Protection Act (NDPA)
  • The Cybercrimes (Prohibition, Prevention, etc.) Act
  • The Consumer Protection Council Act

Any legal proceedings arising out of or in connection with these Terms shall be brought exclusively in the courts of Nigeria, and both parties submit to the jurisdiction of those courts.

💡 Earncial is registered with Nigeria's Corporate Affairs Commission as Earncial Global, RC No. 9374009. All business activities are conducted in compliance with applicable Nigerian law.

14. Force Majeure

Earncial shall not be held liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond Earncial's reasonable control, including but not limited to:

  • Acts of God, natural disasters, floods, earthquakes, or extreme weather events
  • War, armed conflict, terrorism, civil unrest, or government actions
  • Epidemics, pandemics, or public health emergencies declared by relevant authorities
  • Nationwide or regional internet outages, power failures, or infrastructure disruptions
  • Actions or failures of third-party service providers (including payment processors, hosting providers, or telecommunications companies)
  • Changes in law, regulation, or government orders that make performance impossible or unlawful
  • Cyberattacks, distributed denial-of-service attacks, or other malicious external interference beyond our reasonable control

In such circumstances, Earncial's obligations under these Terms shall be suspended for the duration of the force majeure event. Earncial will make reasonable efforts to notify affected users and resume normal operations as quickly as possible.

💡 Force majeure events are rare and unpredictable by nature. Earncial will always communicate transparently with users if such an event affects platform operations.

15. Severability

If any provision of these Terms of Service is found by a court or other authority of competent jurisdiction to be invalid, unlawful, void, or unenforceable — whether in whole or in part — that provision shall be deemed severed from these Terms.

The severance of any such provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect as if the severed provision had never been included.

Where a provision is found unenforceable but could be made enforceable by modifying its scope or extent, the parties agree that the provision shall be modified to the minimum extent necessary to make it enforceable under applicable law.

💡 In plain terms: if one part of these Terms is ever ruled invalid by a court, the rest of the Terms remain fully valid and binding.

16. Advertising on Earncial

14.1 — Display of Advertisements

Earncial displays advertisements from our advertising partners across the platform. These ads may appear to both Earners and Advertisers during their use of the Service.

By creating an account and using the Earncial platform, you acknowledge and agree that you may see advertisements displayed on the platform.

14.2 — Earner Accounts and Ads

Paying the activation fee of ₦1,000 grants Earners full access to all earning features and opportunities on the platform. It does not constitute a purchase of an ad-free experience.

The activation fee covers:

  • ✅ Unlocking your account for task completion
  • ✅ Access to all current and future earning features
  • ✅ Access to the referral program
  • ✅ Full use of all platform tools

The activation fee does not cover removal of advertisements. Ads are part of the platform experience for all users.

💡 This is disclosed clearly before you join. By creating an account, you accept that ads are part of the Earncial platform experience.

14.3 — Our Advertising Standards

Earncial is committed to responsible advertising. We do not serve ads that are:

  • Intrusive, deceptive, or misleading
  • Designed to interfere with your ability to earn or use the platform
  • In conflict with your activity or earnings

Our goal is to display ads in a way that supports the platform without negatively affecting your experience — especially for Earners. Ads will not obstruct your tasks, submissions, or withdrawals.

14.4 — Purpose of Advertising Revenue

Revenue generated from advertising on Earncial is used to:

  • Maintain and improve the platform infrastructure
  • Fund ongoing development of new features
  • Support operational costs of running the platform
  • Enable Earncial to continue providing earning opportunities to users
✅ Earncial advertising revenue helps keep the platform running and growing — which in turn creates more earning opportunities for our Earner community.

14.5 — Third-Party Advertisers

Advertisements on Earncial are served by our advertising partner network. Earncial does not endorse the products or services advertised by third parties. Earncial is not responsible for the content, accuracy, or practices of any advertiser or their linked websites.

⚠️ Earncial advertisers (our ad partners) are separate from Earncial Advertisers (users who post social media tasks). The two are completely distinct.
